Best Rides DC Contributor Agreement

Introduction

This Contributor Agreement ("Agreement") is entered into between Anda Llama, LLC, owner and publisher of Best Rides DC ("Best Rides DC," "Anda Llama," "we," "our," or "us"), and the individual submitting original written content, photographs, artwork, illustrations, maps, GPS route graphics, route descriptions, videos, or other creative material ("Contributor," "you," or "your").

This Agreement governs original creative works accepted for publication by Best Rides DC.

By signing this Agreement, both parties acknowledge that they have read, understood, and agree to the terms described below.

1. Ownership of Your Work

You retain full ownership and copyright of your Work.

Nothing in this Agreement transfers ownership of your intellectual property to Anda Llama, LLC.

2. License to Publish

If your submission is accepted for publication, you grant Best Rides DC a non-exclusive, worldwide, royalty-free license to:

  • Publish

  • Display

  • Reproduce

  • Distribute

  • Archive

  • Promote

your Work in connection with Best Rides DC, including but not limited to:

  • BestRidesDC.com

  • Blog articles

  • Journal entries

  • Books and publications

  • Newsletters

  • Social media

  • Marketing materials

  • Presentations

  • Future Best Rides DC publications

This license remains in effect for as long as your Work is published or maintained in Best Rides DC archives and is subject to the provisions of Section 7 (Removal of Future Use).

Because this license is non-exclusive, you remain free to use, publish, license, or sell your Work elsewhere unless we mutually agree otherwise in writing.

3. Editorial Rights

Best Rides DC may make reasonable editorial changes to accepted submissions, including:

  • spelling

  • grammar

  • punctuation

  • formatting

  • layout

  • image sizing

  • caption editing

We will not make substantive changes that materially alter the meaning or creative intent of your Work without consulting you whenever reasonably practicable.

4. Previously Published Work

Please let us know if your submission has been published elsewhere.

Previously published material may still be considered, provided that:

  • you own the necessary rights to submit it;

  • publication elsewhere does not prevent Best Rides DC from publishing it; and

  • the original publication is disclosed before acceptance.

5. Attribution

Whenever reasonably practicable, Best Rides DC will credit you as the creator of your Work.

The format and placement of attribution may vary depending on the publication, platform, or medium.

6. Compensation

Most submissions published by Best Rides DC are accepted on a voluntary basis.

If Best Rides DC commissions a work or agrees to compensate a contributor, the compensation and any additional licensing terms will be documented separately in writing before publication.

Nothing in this Agreement guarantees publication or compensation.

7. Removal of Future Use

If you later request that your Work no longer be used in future publications, Best Rides DC will make reasonable efforts to honor that request.

However, such a request will not apply to:

  • printed publications already produced;

  • books already published;

  • archived website pages;

  • newsletters already distributed;

  • social media posts already published;

  • marketing materials previously released; or

  • other publications or materials that have already been produced or distributed.

8. Your Representations

You represent and warrant that:

  • You are the creator and copyright owner of the Work, or have all necessary rights to submit it.

  • Your Work does not knowingly infringe the copyright, trademark, privacy, publicity, or other legal rights of another person or organization.

  • Your submission does not violate any applicable law or contractual obligation.

  • Any individuals depicted in submitted photographs have granted any permissions reasonably required for publication where applicable.

9. Indemnification

You agree to indemnify and hold harmless Anda Llama, LLC from claims, damages, losses, liabilities, costs, and reasonable legal expenses arising from a breach of the representations and warranties contained in this Agreement.

10. Independent Relationship

Submission of your Work does not create an employment relationship, partnership, joint venture, agency relationship, or work-for-hire arrangement between you and Anda Llama, LLC.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

Any legal action relating to this Agreement shall be brought in the appropriate state or federal courts located within the Commonwealth of Virginia.

12. Entire Agreement

This Agreement constitutes the complete understanding between the Contributor and Anda Llama, LLC regarding the submitted Work and supersedes any prior discussions relating to that Work.

Any modification to this Agreement must be made in writing and signed by both parties.

13. Acceptance

By signing below, both parties acknowledge that they have read, understood, and agree to the terms of this Agreement.
